Steel Plush Terms of Service Agreement

Party A has requested Party B to create a deliverable of an art work(s) made digitally. It will consist of what Party A has requested with given details provided by Party A.Scope of Services
-Party B will provide art dedicated to the commission Party A has proposed with a substantial amount of details to what they have requested (Reference images, clear understanding and agreement upon what direction to take during mid-WIP’s check ups, and artist recommendations for the enhancement of customer’s final results of the art.)Project Timeline
Upon Party A’s request during the beginning phase of commission, if there is a certain deadline given upon the beginning of the commission, it will be discussed and followed through. Any complications during the project/commission, Party A will be informed immediately to see how to go about the situation at hand. Life happens and or technology fails so there will be a possibility of delays. Otherwise, it usually takes 2 weeks to a month due to the 9-5 job.Creative Strategy & Process
-Both parties will hold a meeting for full details of commission and confirmation of terms and agreement to commission contract.
-Party B commences to draft/sketch the commission and make progress on the art.
-Both parties will communicate via. Twitter Dm’s / Discord to discuss any changes if needed.
-Party B will continue onto finalization of edits and art content into files to send to the client.
-Party B will provide digital drawing art services. These services involve drawing on a digital art program and editing softwares to complete the art that has been commissioned.Expectations for Communication
-Party B will provide updates via. Messages on twitter or discord when asked for a substantial amount of progress has been made.
-Party A is obligated to contact Party B if there are any concerns regarding the commission or changes needed prior or midway (50%) into the project. Changes requested 75% completed or close to the delivery date will be charged an extra %20 of the original commission price upon agreement per change (Depending on the complexity of the change).
-Party B requests that Party A requests change during the beginning phase and mid-way completion phase of the art for a more effective and efficient process. (This is optional but will make the process easier and quicker.)
-Party A is free to contact Party B anytime via. Discord or Twitter DMS. Communication will only be used in a manner of conducting business communication. No personal matters will be discussed. No calls on holidays (i.e Thanksgiving, Christmas, New Years, etc)Statement Regarding Work Made for Hire
Work Made for Hire, stated by the Copyright United States Copyright Office, defines it as the following:
-When a certain type of work is created as a result of an express written agreement between the creator and a party specifically ordering or commissioning it.
-When a work is made for hire, the hiring or commissioning party is considered the author and copyright owner.I (Party B, Steel Plush) adhere to this rule that is defined by the United States Copyright Office and will not have copyright over the commission itself as a whole. The commission will thereby not be related to myself once completed and I have no association over what happens once the completed commission is given to the commissioner (Party A, Commissioner) and how it is used in future projects.For more information please refer to copyright.gov or to this PDF document.Intellectual Property Ownership
The ownership and copyright distribution shall follow the rules defined by AIGA (American Institute of Graphic Arts) and their ‘Standard Form of Agreement for Design Services.
IP 1. ‘Client’s Intellectual Property Ownership’
-Upon completed commission and full payment has been processed and confirmed, both parties will follow the AGIA standards of how the deliverables of the commission will be handled according to Work Made for Hire. The commissioned deliverable and idea for the commission will solely belong to Party A. Party B will not claim ownership or copyright of the deliverable itself, but can claim ownership of the labor and work put into the creation of the commission deliverable (i.e. artstyle, process, time and labor put into commission).Compensation, Payment Terms & Cost Breakdown
Total of Commission: Prices upon agreement and based on Carrd Commission Page.
First Payment: 50% or Full Balance
-First Payment must be processed completely before starting any work of the commission.
(OPTIONAL) Second Payment: 25% or remaining balance.
-Optional payment can be processed on the next interaction when both parties meet up for updates on commission work.
Final Payment: Remaining Balance.
-Completed commission will be given to the commissioner once final payment has been processed.
Failure to make payments from Party A, Party B has the right to not continue the work or discuss a request for cancellation of commission. Otherwise if the Commission is complete and the full payment hasn’t been met, Party B has the right to never do work for Party A going forward in the future.
After a full total of payment is received, Party B will send the completed commission to Party A by their requested method of delivery.Payments can be made via. Ko-Fi, Paypal, Venmo, Zelle, Cashapp or by credit card via. Square and Stripe.Enforcement: Dispute Resolution & Applicable Law
Responsibilities of both parties:-Party A is responsible for providing payment according to Payment Terms and the chosen payment plan discussed prior to beginning of the commission work. They are also responsible for communication with Party B during updates concerning immediate attention concerning the commission itself.
-Party B is responsible for creating the commission requested and committing to the schedule discussed prior to the beginning of commission work and after confirmation of the signing of the commission contract. They will create the requested work as Party A desires within her capabilities as an artist/creator. They will provide original art, tailored to the client’s request and provide updates in a timely manner according to the schedule given prior to the beginning of the commission process.If both or one of the parties fail to meet or perform these responsibilities, either party is in their right to come forth with a request of cancellation of the commission. There will be no refund and unfinished work will be sent to the commissioner in a zip file and free to be used how they see fit. Once the file is given to the commissioner, Artist is has no responsibility or connection to how it is used or transformed by the commissioner.Amendments, Termination & Force Majeure
Amendments
-Amendments can be created by either party to add on to this contract. The amendments must be reviewed by both parties as well as be signed by both parties. The additional amendments will be printed and filed together with this original contract.Termination
-Both parties can request cancellation within the process period of making the commission.
-No refund of payments will be given from Party B.
- Progress pictures of the work and files will be handed over to Party A and can be used in any way Party A sees fit. Party B will not have any affiliation with how it is used after the files have been handed over.Force Majeure
-Under the uncontrollable circumstances (i.e. Natural Disasters, Robberies, Major Family Health Issues, Party B (Steel Plush) Personal Health Issues, etc.) both parties are allowed to cancel the commission and will not be held responsible for the incompletion of the work.
-Files will be transferred to Party A and Party B will have no affiliation with how it is used once the files have been transferred but will be given credit as the artist who worked on the commission.
Miscellaneous
Limitation of Liability
- Payments that have been processed will not be refunded if the contract is canceled.
- Files such as (PSD, RAW, CSP, SAI, SAI2) will solely belong to artist (Party B) and Commissioner (Party A) will receive a PNG,JPG file of the work that has been done. Once the PNG or JPG file is in possession of Party A, the artist will have no connection or relation on how it is used or transformed but will be credited for working on the art. The Artist will have no liability for how the commission is used.
-Upon signing/agreeing this contract, Party A has confirmed that they have agreed to follow the following for Hold Harmless terms.Hold Harmless Terms follows:
1. Party A (Commissioner) agrees to indemnify Party B (Steel Plush) and hold them harmless from and against any and all claims related to the theme, idea, process of how the commission is created. The theme and idea is held responsible solely by Party A (Commissioner) as Party B (Steel Plush) has no say in what the idea or theme of what the commission is based around.Unless the theme or idea of the commission goes against what the artist Party B (Steel Plush) will not draw, the artist has the right to cancel the commission.
